Terms & Conditions (England & Wales)

1. Who you’re contracting with

Shire Web Design Ltd (company registered in England & Wales), trading as ScaleborneUK (“we/us”).

Important: You are contracting with an independent UK company. We are not Chrisorah (a US agency), and we do not act as Chrisorah’s agent.
 

2. Services

We provide design services including, without limitation: brand design, web/UI mock-ups, pitch decks, visual assets, and related consulting (“Services”). Scope, deliverables, milestones and fees are set out in our proposal, quote, SoW or email confirmation (“Order”).
 

3. Trading name / merchant of record

Payments are processed for Shire Web Design Ltd (t/a ScaleborneUK). This trading name may appear on invoices, checkout pages, and processor statements.
 

4. Subcontracting & the ScaleborneUK partner network

We may, at our discretion, involve carefully vetted independent freelancers (the “Scaleborne partners”). We remain your sole contractual counterparty and responsible for delivery.
 

5. Your responsibilities

Provide timely feedback, access, and materials we reasonably need. You warrant you have rights to any content you supply and that it does not infringe third-party rights.
 

6. Fees, expenses & payment

Fees are as per the Order (plus VAT if applicable). Unless stated otherwise:
a) Deposits are non-refundable and due before work starts;
b) Invoices are due [7/14] days from issue; late amounts accrue interest at the statutory rate;
c) Out-of-scope work is charged at [£X/hour or fixed rates] with your prior approval;
d) Reasonable, pre-approved expenses are billable at cost.
 

7. Revisions & acceptance

Unless stated otherwise, the Order includes [e.g., 2] reasonable rounds of revisions per deliverable. Deliverables are deemed accepted when you confirm in writing or deploy/use them, whichever is earlier.
 

8. Intellectual property

We retain ownership of pre-existing IP, frameworks and know-how. On full and cleared payment, we assign to you the rights in final, deliverable design assets described in the Order, excluding third-party materials and our pre-existing IP. We may showcase non-confidential work in our portfolio unless you opt out in writing before project start.
 

9. Third-party platforms & tools

We may use third-party platforms (e.g., hosting, font libraries, stock, payment processors). Their terms apply between you and them. You are responsible for any required third-party licences.
 

10. Confidentiality

Each party must keep the other’s confidential information secret and use it only to perform or receive the Services.
 

11. Non-reliance & independent status

You acknowledge we are independent of Chrisorah and any other agency. No partnership, joint venture or employment relationship arises between us and you (or us and Chrisorah) by virtue of these Terms.
 

12. Liability

Nothing limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot legally be limited. Otherwise, our aggregate liability arising out of or in connection with the Services is limited to the fees you paid for the specific Order giving rise to the claim. We are not liable for: loss of profit, revenue, goodwill, or any indirect or consequential loss.
 

13. Termination

Either party may terminate an Order for material breach not cured within 14 days of notice. On termination, you pay for work performed up to termination (including committed third-party costs). Clauses intended to survive will do so.

14. Force majeure
Neither party is liable for delays/failures caused by events beyond reasonable control.
 

15. Governing law & jurisdiction
These Terms and any dispute are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

16. Entire agreement & changes

These Terms plus the Order are the entire agreement. Any change must be in writing and agreed.
